Stock buyback WERE illegal for a couple of centuries, until the SEC changed the regulations in 1982. The point of a buyback is to make the price of the stock go up, and until 1982 that was seen as stock manipulation.

Capital gains is only taxed when a sale happens. Increase on stock price caused no tax on the increased value unless sold.
